Brandbag Terms of Use and Asset Licence

Last updated: 13 September 2026

About these terms

Brandbag is an online platform available at brandbag.io. It allows people to access, customise and download approved brand and campaign materials.

Brandbag is operated by Blue Stag Studio Limited, trading as Everglow. In these terms, we refer to Blue Stag Studio Limited as “Everglow”, “we”, “us” or “our”.

Blue Stag Studio Limited is registered in England and Wales under company number 06613946. Our registered office is:

33–35 West Bute Street
Cardiff Bay
CF10 5LH

You can contact us at hi@everglow.co.uk.

These terms apply whenever you access Brandbag or customise, download, edit, publish or otherwise use an Asset.

You must accept these terms before each download. By ticking the acceptance box and downloading an Asset, you agree to be bound by the version of these terms shown to you at that time.

Definitions

In these terms:

  • Asset means any template, photograph, video, graphic, logo, illustration, document, wording, font or other material made available through Brandbag.
  • Brand Controls means the settings, rules and limitations applied to an Asset, including permitted colours, wording, imagery, layouts, formats and editing options.
  • Brand Guidelines means any brand, campaign or usage guidelines made available by Everglow or the Organisation.
  • Campaign means the project, programme, initiative or activity for which an Asset is provided.
  • Organisation means the Everglow client, brand owner, commissioning body or other organisation for which a Brandbag collection has been created.
  • Output means a finished item created using an Asset, such as a social media graphic, poster, advertisement, document or digital image.
  • Permitted Purpose means the Organisation, Campaign, activity or purpose described within the relevant Brandbag collection or alongside the Asset.
  • Specific Asset Restrictions means any conditions, notices, expiry dates, territories, channel limitations or other restrictions displayed alongside a particular Asset.
  • User Content means any wording, information, image, logo, photograph or other material that you upload, enter or add to Brandbag.

Who may use Brandbag

Brandbag does not normally require an individual user account or login.

Anyone may access Brandbag, but an Asset may only be downloaded and used in accordance with these terms and for its Permitted Purpose.

If you are under 18, you may use Brandbag only with the permission and supervision of a parent, guardian, teacher, employer or other responsible organisation. The responsible adult or organisation must review these terms and help ensure that your use complies with them.

You must not use Brandbag or an Asset if you do not agree to these terms.

Access to Brandbag

Subject to these terms, Everglow grants you a limited, non-exclusive, non-transferable and revocable right to access and use Brandbag.

This right does not give you any ownership of:

  • Brandbag or its software.
  • Everglow’s templates or creative work.
  • The Organisation’s brand or campaign materials.
  • Any photograph, video, font, illustration or other third-party content.
  • Any other Asset made available through Brandbag.

Everglow reserves all rights that are not expressly granted under these terms.

Licence to use downloaded Assets

When you accept these terms and download an Asset, Everglow, the Organisation and any relevant rights holders grant you a non-exclusive licence to use that Asset for its Permitted Purpose.

Subject to these terms, you may:

  • Customise the Asset within Brandbag.
  • Download the Asset or a completed Output.
  • Make further changes using other appropriate software or tools.
  • Reproduce and publish the Asset or Output for its Permitted Purpose.
  • Use the Asset or Output through approved print, digital, social media, advertising and campaign channels.
  • Provide it to a printer, publisher, media owner or other supplier solely so they can produce or distribute it for the Permitted Purpose.

A supplier receiving an Asset or Output must not retain, reuse, sell, sublicense or distribute it for another purpose.

Unless Specific Asset Restrictions state otherwise, an Asset downloaded in accordance with these terms may continue to be used indefinitely for its Permitted Purpose.

The right to continue using an Asset does not transfer ownership to you and does not permit you to use it for another organisation, brand, campaign or purpose.

Continuing use

The end of an Organisation’s access to Brandbag does not automatically end the right to use an Asset or Output that was lawfully downloaded, created or published while access was available.

Unless Specific Asset Restrictions state otherwise, existing Assets and Outputs may continue to be used for their original Permitted Purpose.

However, the end of access may prevent you from:

  • Accessing Brandbag.
  • Downloading new Assets.
  • Accessing updated versions.
  • Using functionality made available through Brandbag.
  • Creating new variations where the Organisation’s agreement does not permit continued editing.

An Asset may have a specific expiry date or usage period because of photography rights, participant consent, stock licensing, campaign requirements or other third-party restrictions. Where this applies, the restriction will be displayed alongside the Asset and must be followed.

Asset-specific restrictions

Different Assets may be subject to different conditions, including restrictions relating to:

  • Purpose.
  • Campaign.
  • Audience.
  • Territory.
  • Publication channel.
  • Duration.
  • Editing.
  • Attribution.
  • Photography or participant consent.
  • Third-party licensing.

You must comply with:

  • These terms.
  • The applicable Brand Controls.
  • The applicable Brand Guidelines.
  • Any Specific Asset Restrictions.
  • Any instructions shown when you customise or download an Asset.

If more than one restriction applies, you must comply with the strictest applicable restriction unless Everglow or the Organisation confirms otherwise in writing.

The absence of a technical restriction within Brandbag does not mean that every possible modification or use is permitted.

Permitted customisation

You may customise an Asset within Brandbag using the available Brand Controls.

You may also edit a downloaded Asset using another appropriate tool, provided that your changes:

  • Preserve the integrity and quality of the original design.
  • Comply with the Brand Guidelines and Specific Asset Restrictions.
  • Do not alter protected logos, photographs, people or brand elements.
  • Do not misrepresent the Organisation or Campaign.
  • Do not reduce the accuracy, accessibility or legal compliance of the material.
  • Remain within the Permitted Purpose.

Permitted changes may include:

  • Adding approved local or campaign information.
  • Selecting from approved wording, imagery, colours or layouts.
  • Replacing designated text or image fields.
  • Resizing an Output for an approved channel.
  • Making minor layout adjustments required by an approved format.
  • Cropping an image where doing so does not distort its subject or remove important context.
  • Exporting an Output in an appropriate format.

The fact that Brandbag or another editing tool allows a particular change does not mean that the change is permitted under these terms.

Protecting the design

You must not edit, copy, recreate or adapt an Asset in a way that compromises the integrity, quality or intended meaning of its design.

Unless expressly permitted, you must not:

  • Rearrange or remove essential design elements.
  • Change the visual hierarchy in a way that affects the intended message.
  • Apply unapproved colours, typefaces, effects or treatments.
  • Stretch, distort, obscure or reduce the quality of an Asset.
  • Recreate a template or design system for another organisation or campaign.
  • Extract the creative concept, layout or component parts for unrelated use.
  • Present a changed design as an approved Everglow or Organisation Asset where it no longer complies with the applicable guidance.

Protecting logos and brand elements

Unless Everglow or the Organisation has expressly permitted it, you must not:

  • Alter, redraw, distort, animate or recreate a logo.
  • Change a logo’s colour, proportions, typography, wording, spacing or arrangement.
  • Remove part of a logo.
  • Combine a logo with another mark or graphic.
  • Apply filters, shadows, outlines or other effects.
  • Use an unapproved logo variation.
  • Remove required clear space.
  • Use a logo in a way that suggests an unauthorised endorsement, partnership or affiliation.
  • Extract or use a logo separately from its Permitted Purpose.
  • Register or attempt to register a logo or brand element as your own intellectual property.

Only approved versions of logos and brand elements may be used.

Protecting people and their appearances

You must not edit or manipulate a photograph, video or other depiction of an identifiable person in a way that changes, distorts or misrepresents their:

  • Face or facial features.
  • Body or body shape.
  • Skin tone.
  • Hair.
  • Age.
  • Expression.
  • Clothing.
  • Disability.
  • Identity.
  • Perceived personal characteristics.
  • Physical appearance generally.

You must not use face replacement, face swapping, synthetic reconstruction, generative editing, deepfake technology or similar functionality to change an identifiable person.

You must not place a person in a misleading, offensive, defamatory, discriminatory, political, sexual, medical or otherwise sensitive context that was not intended or authorised.

Technical changes such as resizing, file conversion or appropriate cropping must not distort the person, materially alter their appearance, remove important context or change the apparent meaning of the original image.

Artificial intelligence and automated tools

You may use artificial intelligence or automated editing tools as part of your workflow, but you remain fully responsible for the resulting Asset or Output.

Using an artificial intelligence system does not allow you to make a change that would otherwise be prohibited by these terms.

In particular, you must not use an artificial intelligence or automated system to:

  • Alter a logo or protected brand element.
  • Change a person’s face, body, appearance, identity or characteristics.
  • Reconstruct missing parts of a person.
  • Replace a person or create a synthetic version of them.
  • Introduce misleading imagery or information.
  • Recreate an Asset for another organisation, brand or Campaign.
  • Remove copyright, attribution or rights information.
  • Train or develop a model using Brandbag Assets.

You must ensure that any external service you use does not acquire ownership of an Asset or obtain a right to reuse, publish, distribute or train systems using it.

Other prohibited uses

You must not:

  • Use an Asset outside its Permitted Purpose.
  • Sell, rent, sublicense or redistribute an Asset.
  • Make an Asset or editable template available as stock content.
  • Upload an Asset to a template marketplace, media library or public repository.
  • Make an editable source file available for other people to download.
  • Extract photographs, illustrations, icons, fonts or other components for unrelated use.
  • Remove copyright notices, credits, watermarks or rights information.
  • Claim ownership of an Asset.
  • Use an Asset to create or promote a competing template or asset service.
  • Use an Asset in a way that is unlawful, misleading, defamatory, discriminatory or offensive.
  • Use an Asset in a way that could damage the reputation of Everglow, the Organisation, a depicted person or another rights holder.
  • Use an Asset after a clearly stated expiry date.
  • Use an Asset outside an approved territory, channel or audience.
  • use automated systems to scrape, harvest or systematically download Brandbag content.
  • Circumvent Brand Controls, security measures or download restrictions.
  • Interfere with the operation or security of Brandbag.
  • Introduce malware, viruses or other harmful technology.
  • Reverse engineer, decompile or attempt to extract Brandbag’s source code.

User Content

You retain any ownership rights you have in your User Content.

You must only upload, enter or add User Content if you have all permissions, licences and consents needed for it to be used through Brandbag and included in the resulting Output.

You confirm that:

  • Your User Content does not infringe copyright, trade marks, privacy rights, data protection rights or other legal rights.
  • You have obtained appropriate permission from every identifiable person shown or referred to.
  • You are permitted to use any logos, brand elements, photographs, fonts or other protected material.
  • Personal information has been collected and shared lawfully.
  • Your User Content is accurate and not misleading.
  • Your User Content is not unlawful, harmful, offensive or defamatory.
  • Your User Content does not contain malware or harmful code.

You grant Everglow a non-exclusive, royalty-free licence to host, store, copy, display and process your User Content only as reasonably necessary to operate Brandbag, generate your Output, maintain security and enforce these terms.

Everglow does not acquire ownership of your User Content.

Responsibility for completed Outputs

You are responsible for the content you add and the way you edit, publish and distribute an Output.

Before publishing an Output, you must check:

  • Names, dates, contact information and other factual details.
  • Spelling and grammar.
  • Image quality and cropping.
  • Accessibility.
  • Applicable legal and regulatory wording.
  • Compliance with the Brand Guidelines.
  • Compliance with Specific Asset Restrictions.
  • That any approval required by the Organisation has been obtained.

Brandbag helps people create consistent materials, but it does not replace appropriate editorial, legal, accessibility, safeguarding, brand or organisational approval.

Everglow does not automatically review or approve every Output.

Ownership

Brandbag, including its software, interface, functionality, documentation, templates, creative systems and Everglow-created materials, is owned by Everglow or its licensors and is protected by intellectual property law.

The Organisation’s names, logos, brand materials and content remain owned by the Organisation or its licensors.

Third-party Assets remain owned by their respective rights holders.

Creating or downloading an Output does not give you ownership of the underlying Asset, template, brand, photograph, software or third-party content.

Except for the limited licence expressly granted under these terms, no intellectual property rights are transferred to you.

Misuse, correction and removal

If your use of an Asset breaches these terms, Everglow or the Organisation may require you to:

  • Stop using the Asset or Output.
  • Remove it from publication.
  • Correct or replace it.
  • Destroy physical copies.
  • Permanently delete digital and editable copies.
  • Ask suppliers or other recipients to remove or delete it.
  • Confirm in writing that the required action has been completed.

You must comply promptly with a reasonable request.

Everglow or the Organisation may also require removal where:

  • Rights in an Asset have expired or been withdrawn.
  • Participant consent has ended.
  • Continued use may infringe another person’s rights.
  • A legal or regulatory requirement applies.
  • The Asset was downloaded or used in breach of these terms.

Everglow will not withdraw properly licensed usage without a reasonable legal, rights-based, contractual or compliance reason.

Enforcement by the Organisation

The Organisation may enforce the sections of these terms relating to:

  • Its Assets and intellectual property.
  • Its logos and brand elements.
  • The integrity of its designs.
  • Photographs and depictions of people.
  • Brand Guidelines and Specific Asset Restrictions.
  • Prohibited uses.
  • Correction and removal.

The Organisation may exercise these rights under the Contracts (Rights of Third Parties) Act 1999.

Except for the Organisation and any rights holder expressly identified in relation to an Asset, no other person may enforce these terms under that Act.

Urgent protection

You acknowledge that unauthorised copying, disclosure, publication, redistribution or modification of an Asset may cause harm that cannot adequately be remedied by financial compensation alone.

Everglow, the Organisation or the relevant rights holder may seek an injunction or other urgent legal remedy to prevent or stop unauthorised use.

Download and acceptance records

When an Asset is downloaded, Brandbag may record:

  • The Asset downloaded.
  • The relevant Organisation or Campaign.
  • The date and time.
  • The version of these terms accepted.
  • Confirmation that the acceptance box was selected.
  • A browser, session or download identifier.
  • Technical and security information, which may include an IP address or a protected version of it.

These records may be used to operate Brandbag, understand usage, demonstrate acceptance, investigate misuse and protect Everglow, the Organisation and relevant rights holders.

The Organisation may be able to view relevant download and usage information through its administrative access. Where Brandbag has not collected your name or contact details, this activity may not identify you directly.

Our use of personal information is explained in the Brandbag Privacy Notice.

Reporting problems or misuse

You must promptly contact us if:

  • You believe an Asset infringes another person’s rights.
  • An Asset contains incorrect, inappropriate or outdated content.
  • You become aware of unauthorised access, copying or use.
  • An Output has been published incorrectly.
  • You receive a complaint or legal claim concerning an Asset or Output.
  • You believe Brandbag’s security has been compromised.

Contact hi@everglow.co.uk and stop using the affected Asset while the issue is investigated.

Availability and changes to Brandbag

We aim to keep Brandbag available and secure, but we do not guarantee that it will always be available, uninterrupted or error-free.

We may:

  • Carry out maintenance.
  • Change or update features.
  • Correct errors.
  • Introduce security measures.
  • Remove or replace content.
  • Change Brand Controls.
  • Suspend part or all of the service where reasonably necessary.

You should keep appropriate copies of any completed Outputs you need to retain.

Third-party content and services

Brandbag may include content, software, links or services supplied by third parties.

Additional terms may apply to third-party content, including photographs, videos, fonts, illustrations and stock materials. You must comply with any restrictions displayed alongside that content.

Everglow is not responsible for third-party websites, tools or services that are outside our control.

Our responsibility to you

Everglow provides Brandbag to you as a user of materials created for an Organisation or Campaign. Everglow’s obligations and liability in relation to providing Brandbag to the Organisation are governed by Everglow’s separate agreement with that Organisation.

To the fullest extent permitted by law, Everglow will not be liable directly to you for any loss or damage arising from or connected with:

  • Your access to or use of Brandbag.
  • The unavailability, interruption or failure of Brandbag.
  • An Asset, Output or information made available through Brandbag.
  • Changes you make or content you add.
  • The use of an external editing or artificial intelligence tool.
  • The loss, corruption or unauthorised use of content.
  • Your failure to obtain approval before publishing an Output.
  • Your use of an Asset outside its Permitted Purpose.

Everglow will not be liable for any loss of profit, revenue, opportunity, anticipated savings, goodwill, reputation or data, or for any indirect or consequential loss.

If, despite the exclusions above, Everglow is found to have any direct liability to you, Everglow’s total liability will not exceed £100.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Nothing in these terms affects any statutory rights that cannot legally be restricted.

Your responsibility

You are responsible for your use of Brandbag and for complying with these terms.

If you breach these terms, you must take reasonable steps to:

  • Stop the breach.
  • Limit any resulting harm.
  • Correct or remove affected materials.
  • Cooperate with Everglow and the Organisation.
  • Help recover or delete unauthorised copies.

You will be responsible for losses directly caused by your deliberate, reckless or negligent misuse of Brandbag or an Asset, to the extent permitted by law.

Nothing in this section makes you responsible for matters caused by Everglow or the Organisation.

Changes to these terms

We may update these terms to reflect:

  • Changes to Brandbag.
  • Changes in law or regulation.
  • New security or operational requirements.
  • Changes to the way Assets are licensed.
  • Reasonable measures needed to protect Everglow, Organisations, users or rights holders.

The current version will be made available through Brandbag.

Because you must accept the terms before each download, the version displayed and accepted at the time of download will apply to that download.

A later change will not retrospectively remove rights properly granted under an earlier version, although Specific Asset Restrictions, third-party rights, legal requirements and misuse provisions may still require an Asset to be corrected or removed.

If part of these terms is invalid

If any part of these terms is found to be unlawful, invalid or unenforceable, the remaining parts will continue to apply.

Any invalid provision will be treated as modified to the minimum extent necessary to make it lawful and enforceable.

No waiver

If Everglow does not immediately enforce a provision of these terms, that does not mean that we have waived our right to enforce it later.

Transfer of these terms

You may not transfer or assign your rights under these terms to another person.

Everglow may transfer its rights and obligations as part of a sale, transfer or reorganisation of Brandbag or its business, provided this does not reduce any rights that cannot legally be restricted.

Governing law

These terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from these terms, subject to any mandatory rights you may have to bring a claim in another part of the United Kingdom or in the country where you live.
